INVITASJON TIL DELTAKELSE I REPARASJONSEMISJON I BARENTS BLUE AS

SANDNES, 3. mars 2026. Styret i Barents Blue AS viser til emisjonen som ble gjennomført i perioden 17. desember 2025 til 4. januar 2026. Emisjonen ble gjennomført for å styrke selskapets kapitalgrunnlag og sikre videre utvikling av Barents Clean Ammonia-prosjektet i Hammerfest. Totalt ble det tegnet 239 249 nye aksjer i emisjonen til en tegningskurs på 3,3593 kroner per aksje, tilsvarende et samlet tegningsbeløp på 803 709 kroner. Selskapets aksjekapital økes dermed med 11 962,45 kroner (239 249 aksjer à pålydende 0,05 kroner), mens det overskytende beløpet føres til overkursfondet i samsvar med aksjeloven.

Første emisjonsrunde ble gjennomført som en åpen emisjon, tilgjengelig både for eksisterende aksjonærer og eksterne investorer. Emisjonsinformasjonen ble distribuert til eksisterende aksjonærer der vi hadde epostadresse samt gjort tilgjengelig på selskapets hjemmesider, men ikke sendt direkte til alle aksjonærer. For å sikre at alle eksisterende aksjonærer får samme mulighet til å delta på tilsvarende vilkår, har styret besluttet å gjennomføre en reparasjonsemisjon.
Reparasjonsemisjonen gjennomføres for å:
• gi alle eksisterende aksjonærer en reell mulighet til å tegne aksjer på samme vilkår som i første emisjonsrunde
• sikre likebehandling og transparens i tråd med god eierstyring
• styrke selskapets kortsiktige driftskapital i denne viktige fasen i utviklingen av Barents Clean Ammonia-prosjektet, da selskapet trenger tilførsel av ny kapital for å gjennomføre nødvendige aktiviteter i arbeidet med finansieringen av FEED.
Reparasjonsemisjonen vil bli gjennomført på samme vilkår som første emisjonsrunde.
Vilkår for reparasjonsemisjonen
Totalt emisjonsbeløp: Maksimum Kr. 9 196 291,-
Minstetegning: Kr. 25 000,- tilsvarende 7 442 aksjer
Tegningskurs: Kr. 3,3593 per aksje
Tegningsperiode: 3. mars 2026 til 17. mars 2026 (23:59 CET)
Frist for innbetaling av tegningsbeløp: 25. mars 2026 (16:00 CET)
Betalingsinformasjon til aksjonærene som tegner aksjer i reparasjonsemisjonen vil bli oversendt umiddelbart etter at tegningsperioden er avsluttet og tegningene er gjennomgått.
Reparasjonsemisjonen vil kun være åpen for aksjonærer registrert i selskapets aksjonærregister per 16. desember 2025, og som ikke tegnet aksjer i den første emisjonsrunden.
Alle tegnere må disponere en VPS‑konto eller en nominee‑konto i en utenlandsk bank for å kunne motta tildelte aksjer.
Dersom emisjonen blir overtegnet, vil tildeling av aksjer skje på pro rata‑basis, beregnet ut fra den enkelte investors tegningsbeløp.
Tegning av aksjer skal skje ved utfylling og signering av vedlagte bestillingskjema, og skal sendes til selskapet via følgende epostadresse innen utløpet av tegningsperioden: ks@barentsblue.com.

Vi vil gjøre en oppdatert prosjektpresentasjon tilgjengelig på selskapets hjemmesider (www.barentsblue.no/news), og oppfordrer alle aksjonærer til å gjøre seg kjent med innholdet i denne presentasjonen.
Tegningsbeløpene skal innbetales til en emisjonskonto i Sparebank 1 Sør-Norge, og vil bli kontrollert og bekreftet av uavhengig tredjepart i henhold til kravene i Aksjeloven, herunder verifikasjon av at kapitalen er fullt innbetalt og disponibel for selskapet før registrering av kapitalforhøyelsen i Foretaksregisteret.Sparebank 1 Sør-Norge som er Barents Blue AS sin kontofører i VPS vil forestå registreringen av de nye aksjene på tegnernes VPS‑kontoer så snart praktisk mulig etter at kapitalforhøyelsen er registrert i Foretaksregisteret.

INVITATION TO PARTICIPATE IN A REPAIR ISSUE IN
BARENTS BLUE AS

SANDNES, 3 March 2026. The Board of Directors of Barents Blue AS refers to the share issue carried out in the period from 17 December 2025 to 4 January 2026. The share issue was conducted to strengthen the company’s capital base and secure further development of the Barents Clean Ammonia project in Hammerfest. A total of 239,249 new shares were subscribed in the issue at a subscription price of NOK 3.3593 per share, corresponding to a total subscription amount of NOK 803,709. The company’s share capital will therefore increase by NOK 11,962.45 (239,249 shares with a nominal value of NOK 0.05), while the excess amount will be allocated to the share premium reserve in accordance with the Norwegian Private Limited
Liability Companies Act.
The first share issue was conducted as an open issue, available to both existing shareholders and external investors. Information about the issue was distributed to existing shareholders for whom we had email addresses and made available on the company’s website, but it was not sent directly to all shareholders. To ensure that all existing shareholders are given the same opportunity to participate on equivalent terms, the Board has resolved to carry out a repair share issue.
The purpose of the repair share issue is to:
• provide all existing shareholders with a genuine opportunity to subscribe for shares on the same terms as in the first issue
• ensure equal treatment and transparency in line with good corporate governance
• strengthen the company’s short-term working capital in this important phase of the Barents Clean Ammonia project, as the company requires additional capital to carry out necessary activities related to the financing of FEED.
The repair share issue will be carried out on the same terms as the first issue.
Terms of the Repair Share Issue
Total issue amount: Maximum NOK 9,196,291
Minimum subscription: NOK 25,000, corresponding to 7,442 shares
Subscription price: NOK 3.3593 per share
Subscription period: 3 March 2026 to 17 March 2026 (23:59 CET)
Payment deadline: 25 March 2026 (16:00 CET)
Payment information for shareholders subscribing in the repair issue will be sent immediately after the subscription period has ended and the subscriptions have been reviewed.
The repair issue will be open only to shareholders registered in the company’s shareholder register as of 16 December 2025, and who did not subscribe for shares in the first issue.
All subscribers must hold a VPS account or a nominee account in a foreign bank in order to receive allocated shares.
If the issue is oversubscribed, allocation of shares will be made on a pro rata basis, calculated based on each investor’s subscription amount.
Subscription of shares shall be made by completing and signing the attached subscription form, which must be submitted to the company by email before the end of the subscription period: ks@barentsblue.com.
Additional Information
An updated project presentation will be made available on the company’s website www.barentsblue.no/news and all shareholders are encouraged to familiarise themselves with its contents.
Subscription amounts shall be paid into an issue account at Sparebank 1 Sør-Norge and will be verified and confirmed by an independent third party in accordance with the requirements of the Norwegian Private Limited
Liability Companies Act, including verification that the capital has been fully paid and is available to the company before the capital increase is registered in the Register of Business Enterprises. Sparebank 1 Sør-Norge, which is Barents Blue AS’s VPS account operator, will register the new shares on the subscribers’ VPS accounts as soon as practically possible after the capital increase has been registered in the Register of Business Enterprises.

OPPDATERING VEDRØRENDE OPPTAK FOR HANDEL PÅ EURONEXT NOTC FAMILY & FRIENDS

I første emisjonsrunde informerte selskapet om en planlagt prosess for opptak av aksjene i Barents Blue AS for handel på Euronext NOTC Family & Friends i slutten av februar 2026. Etter nærmere vurderinger har styret besluttet å utsette dette til et senere tidspunkt. I første omgang innebærer dette at saken vil tas opp igjen i etterkant av gjennomføringen av reparasjonsemisjonen. Styret vil da foreta en vurdering av tidspunktet for gjennomføringen av en slik prosess. Videre må styret også ta i betraktning pågående prosesser knyttet til finansiering av FEED, og på nåværende tidspunkt er det mye som taler for at finansiering av FEED bør være på plass før en notering på Euronext NOTC Family & Friends gjennomføres. Selskapets ambisjon er uansett det samme, dvs å søke opptak for handel slik at selskapets aksjonærer skal ha en plattform for omsetning av aksjene. Selskapet vil holde aksjonærene oppdatert om dette på selskapets hjemmesider.

Barents Blue AS går nå inn i en viktig fase i utviklingen av Barents Clean Ammonia, et prosjekt med ambisjon om å etablere et ledende europeisk anlegg for lavkarbon ammoniakkproduksjon.

UPDATE REGARDING LISTING ON EURONEXT NOTC FAMILY & FRIENDS
3 March, 2026
In the first share issue, the company informed shareholders of a planned process to list the shares of Barents Blue AS for trading on Euronext NOTC Family & Friends at the end of February 2026. Following further assessment, the Board has decided to postpone this to a later date. Initially, this means that the matter will be revisited after completion of the repair share issue. The Board will then assess the appropriate timing for such a process. Furthermore, the Board must also take into account ongoing processes related to the financing of FEED, and at this stage there are strong indications that FEED financing should be secured before a listing on Euronext NOTC Family & Friends is carried out. The company’s ambition remains unchanged: to seek admission to trading so that shareholders have a platform for share transactions. The company will keep shareholders updated on its website.
Barents Blue AS is now entering an important phase in the development of Barents Clean Ammonia, a project with the ambition of establishing a leading European facility for low-carbon ammonia production.

The Board of Directors of Barents Blue AS has decided to carry out a share issue in order to strengthen the company’s capital base and secure the continued development of the Barents Clean Ammonia project in Hammerfest. The company has recently entered into a collaboration with Proton Ventures to realize the project and is planning an investment decision in 2027 and commencement of production in 2031.

After the subscription of new shares the company will apply for listing of the shares for trading at Euronext NOTC Family & Friends, in order to make the shares tradeable for the shareholders in Barents Blue AS.

Proton Ventures, a pioneer in the clean ammonia industry partners with Barents Blue for realization of the Barents Clean Ammonia project

Barents Blue AS today announces Proton Ventures as new partner to the Barents Clean Ammonia Project (project formerly known as the Barents Blue project). The Dutch engineering and project development company is a pioneer in the clean ammonia industry and will bring significant resources and industry expertise to the project and the value chain for clean ammonia, important for the realization of Europe’s largest clean ammonia production plant located in Finnmark, Northern Norway.

Proton Ventures was established in 2001 and has been responsible for the development of several large-scale ammonia export hubs, including ammonia terminals and ammonia production facilities.
​
A new project development company, Barents Clean Ammonia AS, has been established, with Barents Blue holding 75% and Proton Ventures holding the remaining 25% of the shares.
​
By joining forces, the partnership will advance the project towards a Final Investment Decision in 2027, enabling production to commence in 2031.

The Barents Clean Ammonia project is Europe's largest clean ammonia production plant. located in Finnmark in Northern Norway. The first ammonia production train is planned to produce 1 million tonnes of clean ammonia annually, and will be among the most energy efficient blue ammonia plants in the world, with best-in-class carbon footprint and in compliance with the EU taxonomy and the Delegated Act for Low-carbon Hydrogen.

In 2021, The Barents Blue project was awarded a grant of NOK 482 million under the EU IPCEI hydrogen program, Hy2Use. The IPCEI award acknowledged the substantial potential and innovative nature of the Barents Clean Ammonia project.

CHANGE OF COMPANY NAME
July 3, 2025
From July 3 2025, Horisont Ammoniakk AS changes name to Barents Blue AS. The new name reflects that Barents Blue AS has become a stand alone company, and is not longer a subsidiary of Horisont Energi. The name Barents Blue also signifies that the company's focus is primarily on clean ammonia and hydrogen, with the flagship project Barents Clean Ammonia as the key focus.

HORISONT AMMONIAKK BECOMES A STAND ALONE COMPANY

From June 24 2025, all shares in Horisont Ammoniakk AS has been distributed to the shareholders of Horisont Energi, where one share in Horisont Energi has given one share in Horisont Ammoniakk AS. Horisont Ammoniakk will receive management services from Horisont Energi in a transitional period until end of September 2025. from 1 October 2025 Horisont Ammoniakk will be fully operational on a standa alone basis.
